Please read these Terms of Service carefully before using the site. By using the site or registering to use the services offered on it, you agree to these Terms of Service. If you do not agree to these Terms of Service, please do not use this site.
General:
CommonOffice LTD. (referred to as "CommonOffice.com") owns and operates this site and the services offered on it (referred to as "CommonOffice.com "). CommonOffice.com has the right at any time to change or discontinue any aspect of the CommonOffice.com, including the content, hours of availability, and equipment needed for access to or use of the CommonOffice.com. You understand and agree that the CommonOffice.com is provided to you exclusively under CommonOffice.com's Terms of Service. By completing the registration process, you are stating that you are an adult (18 years or older), that you have read and understand the Terms of Service, and that your agree to be bound by them. CommonOffice.com reserves the right to terminate your account at any time for any reason, including if CommonOffice.com learns that you have provided false or misleading registration information or have violated the Terms of Service.
User's Responsibilities:
You are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the CommonOffice.com and all charges related thereto. You are responsible for maintaining the confidentiality of your account number and/or password. You are responsible for all uses of your account, whether or not authorized by you. You agree to notify CommonOffice.com immediately of any unauthorized use of your account.
Privacy:
As part of the registration process, you will provide certain personal information to CommonOffice.com. CommonOffice.com agrees to use your individualized information only for internal purposes; CommonOffice.com may, however, provide your information, in an aggregate form with the information of other users, to third parties, but only in such a way that your individual privacy is protected. CommonOffice.com may contact you periodically to provide you with news, other information, or offers which it believes would be of interest to you. All uses of your information will be in accordance with the provisions of CommonOffice.com's Privacy Statement
Restrictions and policies:
You will not use the service in any way for spamming, chain letters, junk mail or distribution lists to any person who has not given specific permission to be included in such a process. You agree not to transmit through the Service any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind. You will only use the Service for lawful purposes, in compliance with all applicable laws including, without limitations, copyright, trademark, obscenity and defamation laws. Unlawful activities may include (without limit) storing, distributing or transmitting any unlawful material, attempting to compromise the security of any networked account or site, or making direct threats of physical harm. You hereby agree to defend and indemnify CommonOffice.com against any claim or action that arises from your use of the Service in an unlawful manner or in any manner inconsistent with the restrictions and policies stated herein.
It is CommonOffice.com's policy to respect the privacy of its customers. Nevertheless, CommonOffice.com reserves the right to access and disclose any information, data, graphics, video, sound, files and other content created by, provided by, or accessed by you ("Content") in order to comply with applicable laws and lawful government requests, to operate its business properly, or to protect itself. This may also include disclosing licensees' names and other registration and identification information. CommonOffice.com reserves the right in its sole discretion, but will not be obligated, to remove any Content from its system. CommonOffice.com will fully cooperate with law enforcement authorities in investigating suspected lawbreakers, and reserves the right to report to such authorities any suspect activity it becomes aware of.
Support:
Subject to the terms hereof, CommonOffice.com will provide you with email support services for the Service and associated software. Under no circumstances will CommonOffice.com have any obligation to provide you with hard- copy documentation, upgrades, enhancements, modifications, or toll-free phone support.
If you elect to purchase additional storage or features ("additional services"), you agree to provide CommonOffice.com with accurate and complete billing information, including your legal name, address and telephone number, and to update this information within 30 days of any change to it. Payment by fraudulent means will result in immediate and permanent termination of the account, and possible criminal penalties. Upon signing up for additional services, you will pay CommonOffice.com, by authorized credit card, the then applicable fees (the "Fees"). Currently applicable Fees are available at www.CommonOffice.com. CommonOffice.com reserves the right to change the Fees or applicable charges and to institute new charges at any time, upon thirty (30) days prior notice to you (which may be sent by email). The Fees will automatically be charged annually or according to subscription, in advance.
Your CommonOffice.com account will be considered delinquent if your credit card company refuses for any reason to pay the amount billed to it and that amount remains unpaid at the beginning of the next accounting cycle. The additional services may be suspended, archived or purged from system if account is delinquent for more than one billing cycle. CommonOffice.com may impose a charge to restore archived data from delinquent accounts.
If you believe CommonOffice.com has billed you incorrectly, you must contact CommonOffice.com no later than 60 days after the closing date on the first billing statement in which the error or problem appeared, in order to receive an adjustment or credit. Inquiries should be directed to CommonOffice.com's Customer Support department.
CommonOffice.com may choose to bill through an invoice, in which case, full payment for invoices issued in any given month must be received by CommonOffice.com thirty (30) days after the mailing date of the invoice, or the Service may be terminated. Unpaid invoices are subject to interest of 1.5% per month on any outstanding balance, or the maximum permitted by law, plus all expenses of collection.
Payment of fees:
This Service Agreement is an annual agreement, automatically renewable unless either party requests change or termination. Either party may terminate this Service Agreement by notifying the other party 30 days in advance of the termination date. CommonOffice.com may also terminate this Service Agreement immediately, without prior notice or liability, if you breach any of the terms or conditions of this Service Agreement. If purchased additional services are purchased, you will pay in full for the service up to and including the last day on which the service is provided.
To cancel the Service, you must contact CommonOffice.com's Customer Support department via email, fax, postal mail or phone. CommonOffice.com will remove the Content of an account shortly after cancellation. CommonOffice.com may, but is not obligated to, delete archived data.
Termination:
Upon expiration or termination, you will immediately cease all use of the software and any documentation and return or destroy all copies of the software and any documentation. Except for the License granted in Section 2 and except as otherwise expressly provided herein, all sections of this Service Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, warranty disclaimers, and limitations of liability. Termination is not an exclusive remedy and all other remedies will be available whether or not the license is terminated.
Trademarks:
Certain of the names, logos, and other materials displayed in the CommonOffice.com constitute trademarks or intellectual property of CommonOffice.com or other entities. You are not authorized to use any such marks. Ownership of all such trademarks and other intellectual property remains with CommonOffice.com or those other entities.
Disclaimer of waranty:
You expressly agree that use of the CommonOffice.com Applications at your sole risk. Neither CommonOffice.com, its affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that the CommonOffice.com Application will be uninterrupted or error free; nor do they make any warranty as to the accuracy, completeness or reliability or any information, advertisements, services or merchandise provided through the CommonOffice.com Application, or as to the results that may be obtained from use of the CommonOffice.com Application. The CommonOffice.com is provided on an "as is" basis. CommonOffice.com expressly disclaims all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement. In no event will CommonOffice.com, or any person or entity involved in creating, producing or distributing the CommonOffice.com Application or the content included therein, be liable in contract, in tort (including for its own negligence) or under any other legal theory (including strict liability) for any damages, including, without limitation, direct, indirect, incidental, special, punitive, consequential or similar damages, including, without limitation, lost profits or revenues, loss of use or similar economic loss, arising out of the use of or inability to use the CommonOffice.com Application . You hereby acknowledge that the provisions of this section shall apply to all use of and content on the CommonOffice.com Application . In no event shall CommonOffice.com's total liability to you for all damages, losses and causes of action whether in contract, tort (including its own negligence) or under any other legal theory (including strict liability) exceed the amount paid by you, if any, for accessing the CommonOffice.com application.
This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, inaccuracy, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of the CommonOffice.com Application , under any legal theory or cause of action.
Indemnification:
You agree to indemnify, defend and hold harmless CommonOffice.com, its affiliates, officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of the CommonOffice.com Application , your violation of the Terms of Service, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. |
